By applying for or continuing your participation in PolarPro’s Brand Ambassador Program (“Program”) you acknowledge you have read, understand, and agree to be bound by the following Terms and Conditions (collectively “Terms”). If you do not agree to the Terms you cannot participate in the Brand Ambassador Program.

  

PERSONAL INFORMATION

Application for the Program will require you to transmit information about yourself. You guarantee and warrant the information you provide to PolarPro is complete and accurate. Information must be kept complete and accurate at all times; updated information must be provided to PolarPro.

USER CONTENT

General

Certain platforms of the Site, such as the Venture Blog and links to social media platforms, permit uploading and publication of User Content. “User Content” may include photos, video, text, or other types of works. You retain copyright and other proprietary rights you may hold in the User content you submit to PolarPro.

 

Limited Grant to PolarPro

By submitting your User Content, you grant Polar Pro Filters, Inc. a worldwide, non-exclusive, royalty-free, full right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify, and distribute you User Content, in whole or in part, in any media formats and through any media channels now known or hereafter developed. You agree and understand PolarPro is not obligated to use any User Content and will determine usage at its own discretion.

 

User Content Representations and Warranties

You are solely responsible for your User Content and the consequences of posting or publication of User Content. By submitting User Content, you affirm, represent, and warrant:

1. you are the creator and owner of the User Content, or have the requisite licenses, rights, consents, and permissions to authorize PolarPro to use and distribute your User Content as necessary to exercise the licenses granted by you in this section, the manner contemplated by PolarPro, and these Terms; and
   
   
2. your User Content, and the use of you User Content as contemplated by these Terms, does not and will not: 1) infringe, violate, or misappropriate any  third-party right, including any copyright, trademark, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; 2) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or 3) cause PolarPro to violate any law or regulation.

 

NON-DISCLOSURE AGREEMENT

PolarPro may provide a product or access to a service (collectively “product”) to Ambassadors before officially releasing the product. You agree to not release any information about the product or the product release before PolarPro’s official release date.

Ambassadors may be granted access to product information prior to publication of the product or while a product is still in development. All information regarding unpublished products is considered a trade secret and must be kept confidential. Confidentiality means proprietary information may not be shared with third parties until it is either published by PolarPro or becomes obvious with the release of the product. Information regarding PolarPro’s product development process and strategies must remain confidential. PolarPro values all feedback and collaborative efforts but requires confidentiality to protect its competitive advantage and investment in product development.

NON-COMPETE CLAUSE

While you are an Ambassador in the Program you shall not participate in a similar program with a direct competitor of PolarPro. Participation may include promotion of competing products or brands. You must act in the best interest of the company when posting User Content or submitting User Content to PolarPro, or otherwise acting in association with PolarPro.

 

OWNERSHIP AND USE OF PROVIDED PRODUCTS

Ambassadors may be provided PolarPro products in return for their use and promotion of the product. Ownership of provided products is exclusive to the Ambassador; you may not sell, distribute, or otherwise transfer ownership interest in the products provided by PolarPro. Instructing others in the use of the product or temporarily giving the products to other individuals for promotional purposes is encouraged.

USER CONTENT DISCLAIMER

PolarPro expressly disclaims all liability in connection with User Content. PolarPro is under no obligation to edit or control User Content that you submit or publish. PolarPro reserves the right to remove or edit User Content at any time and without notice.

OWNERSHIP

PolarPro owns and operates the Site. The graphics, design, information, data, interfaces, code, products, and all other elements of the Site and compilation of all content and products made available through the Site is the property of PolarPro and protected by U.S. and international copyright, trademark, trade dress and unfair competition laws. The content contained in the Site is the property of PolarPro. You may not make use of the content in any form, unless expressly authorized by PolarPro.

These Terms incorporate by reference PolarPro’s Website Terms of Use. All users of PolarPro’s website at https://www.polarprofilters.com/ agree to be bound by the terms of Website Terms of Use. Please take the time to read the Terms of Use here. By participating in the Program you acknowledge you have read, understand, and agree to PolarPro’s Website Terms of Use.

INDEMNITY

You agree to indemnify, defend, and hold PolarPro and all of its agents, directors, employees, information providers, licensors and licensees, officers, and parent (collectively “Indemnified Parties”), harmless from and against any and all liability and costs (including, without limitation, attorney’s fees and costs), incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these Terms, the Website Terms of Use or the foregoing representations and warranties.

 

POLARPRO’S RIGHT TO CHANGE THESE TERMS AND CONDITIONS

We reserve the right to change these Terms at any time. Altered versions of these Terms are effective upon their publication. Please check the terms periodically for changes. Continued participation in the Program constitutes agreement to be bound by the updated or altered terms. If you do not agree to be bound by the modified terms, you must immediately cease access and use of the Site.
